These Website Terms of Service ("Website Terms") govern access to and use of key3-d.com, client.key3-d.com, the quote workflow, the client portal, checkout, and related online services (together, the "Site") provided by Key3D Fabrication, LLC ("Key3D," "we," "us"). Purchases are also governed by our Customer Terms of Sale, and personal information is handled under our Privacy Policy.

1. Eligibility and Agreement

The Site is intended for business users who are at least 18 years old and able to enter a binding agreement. If you use the Site for a company or other organization, you represent that you are authorized to bind it. By accessing or using the Site, you agree to these Website Terms.

At account activation, quote acceptance, checkout, payment, and other binding steps, the Site may present a notice beside the action button requiring affirmative acceptance of the then-current Website Terms, Privacy Policy, and, where applicable, Customer Terms of Sale. Clicking the identified action constitutes your electronic signature and acceptance of the displayed versions. We may retain the accepted document version, date and time, account or request identifier, and related security records as evidence of that acceptance.

2. Quote-Gated Accounts and Email Verification

The client portal does not offer unrestricted public signup. A new visitor first submits a quote request on the Site, which we confirm by email. When our team prices the request, the quote email brings the quote document and a one-time portal password issued to the submitted email address; on first sign-in you set your own password and affirmatively accept these Website Terms and the Privacy Policy. Only the recipient of that email can create the account, and each portal account belongs to one organization. Team members are added by an organization owner. Optional authenticator-app two-factor authentication is available after sign-in; if you forget your password, the sign-in page emails a single-use reset link that opens on the Site.

You must provide accurate information, maintain a current email address, protect passwords, one-time links, authentication tokens, and devices, and promptly notify contact@key3-d.com of suspected unauthorized access. You may not share a personal account, use another person's credentials, or attempt to bypass email verification, role restrictions, multifactor authentication, or organization boundaries. You are responsible for activity conducted through your account to the extent permitted by law.

3. Quotes, Uploads, and Your Content

The Site lets you request quotes and, after authentication, upload CAD, mesh, model, drawing, image, specification, and related files ("Your Content"). You retain ownership of Your Content. You grant Key3D a limited, non-exclusive, worldwide license to host, copy, process, display within the secured workflow, and use Your Content solely to evaluate the request, provide quotes and proofs, manufacture and support your orders, enable approved reorders, secure and operate the Site, and meet legal obligations.

You represent that you have all rights and permissions required to submit Your Content and authorize the requested work. Do not submit malware, unlawful or infringing material, classified information, export-controlled technical data, protected health information, payment-card data, or other unusually sensitive regulated information unless Key3D has first agreed in writing to an appropriate handling process. Automated prices and lead times are estimates; no quote is binding until Key3D confirms it as provided in the Customer Terms of Sale.

4. Acceptable Use and Security

You may not misuse or disrupt the Site; probe, scan, defeat, or circumvent security; access or attempt to access another customer's account, files, or organization; introduce malicious code; automate abusive submissions; impersonate another person; commit payment or refund fraud; scrape the Site in a manner that burdens the service; reverse-engineer protected portions of the Site or quote engine except where law expressly permits; use Site output to build a competing service; or use the Site for unlawful, harmful, or infringing activity.

We may rate-limit, reject, quarantine, or investigate requests and files; require identity or payment verification; revoke credentials; or suspend access when reasonably necessary to protect the Site, customers, Key3D, or third parties.

5. Third-Party Services

The Site uses Google Cloud and Firebase services, including Firebase Hosting, Firebase Authentication with Identity Platform, Firestore, Cloud Storage, and an approved Firebase App Hosting or Google Cloud Run deployment; Firebase Trigger Email and separately configured email infrastructure; Stripe for payment and fraud-prevention services; Have I Been Pwned's k-anonymous Pwned Passwords service for password screening; and Google Fonts. Google Analytics is loaded only after analytics consent and only when a valid property is configured. Certain separately configured or legacy general-contact forms may use Web3Forms, but the current quote-verification and portal-account workflow does not.

Third-party services may have their own terms and privacy policies, and links may take you to independently operated sites. Key3D is not responsible for third-party content or practices outside the services we direct them to provide. Additional details are in our Privacy Policy.

6. Electronic Communications

You consent to receive transactional communications electronically, including quote-verification, account-access, security, proof, invoice, order, return, and support messages. You are responsible for maintaining an email address capable of receiving them. Electronic records and signatures have the same effect as paper records and handwritten signatures to the extent permitted by law. If we offer optional marketing or text messages, those require any separate consent required by law and may be withdrawn without affecting a purchase.

7. Key3D Intellectual Property

The Site, including its design, text, graphics, the K✱Y3D wordmark and brand, quote and pricing engines, data compilations, and software, is owned by Key3D or its licensors and protected by intellectual-property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Site for its intended business purpose. Except for Your Content and rights expressly granted here, all rights are reserved.

8. Suspension, Account Closure, and Data

We may suspend or terminate access for a material violation of these Website Terms, security risk, fraud, legal requirement, nonpayment, or discontinuation of the Site. You may request account closure by emailing contact@key3-d.com. Closure does not cancel an accepted order or eliminate payment, warranty, recordkeeping, security, or other obligations that by their nature survive. Data retention and deletion requests are handled under the Privacy Policy.

9. Disclaimers and Limitation of Liability

The Site is provided "as is" and "as available." To the maximum extent permitted by law, Key3D disclaims warranties concerning uninterrupted availability, security, accuracy, non-infringement, merchantability, and fitness for a particular purpose. Estimates, previews, automated outputs, and general Site content are not engineering certification or professional advice.

To the maximum extent permitted by law, Key3D is not liable for indirect, incidental, special, exemplary, or consequential damages, or for lost profits, revenue, data, or business opportunity arising from the Site. Key3D's aggregate liability relating solely to the Site will not exceed US $100. Liability for purchased products and services is governed by the Customer Terms of Sale. These limits do not apply to a party's gross negligence, fraud, or willful misconduct, or to liability that cannot lawfully be limited.

10. Indemnity, Governing Law, and Changes

You agree to defend and indemnify Key3D against third-party claims, damages, and reasonable costs arising from your unlawful misuse of the Site, Your Content, infringement of another party's rights, or material violation of these Website Terms. This obligation does not apply to the extent a claim results from Key3D's own misconduct.

The laws of the State of Colorado govern these Website Terms and any dispute relating to the Site, without regard to conflict-of-laws rules. Before filing suit, the parties will attempt in good faith to resolve a dispute through direct discussion for at least thirty days after written notice. The exclusive venue for a dispute relating to the Site is the state or federal courts located in Broomfield County, Colorado, and each party consents to personal jurisdiction and venue there. We may update these Website Terms by posting a new effective date and version. A previously accepted transaction remains governed by the version accepted for that transaction; continued general use after an update is governed by the updated Website Terms.
